Art. 1 – Seller, nature of the service and legal qualification

1.1. These Terms govern the contracts for sailing holidays, boat rentals and maritime brokerage activities (the “Services”) offered by Ecosailing S.r.l. (the “Company”) through differentsailing.it.

1.2. Ecosailing S.r.l. acts as a maritime broker and/or lessor, depending on the type of service. The Company expressly declares that it is not a Tour Operator and that the Services offered do not constitute “package travel” under Italian Legislative Decree 62/2018 (Tourism Code), as they do not include a pre-arranged combination of transport and accommodation as indivisible services.

1.3. The Company may market the Services directly through this website or via links to external third-party platforms; in any case the Company publishes its own holidays with its own vessels. Where the booking is made through an external platform, that platform’s terms and conditions also apply.

1.4. The User acknowledges the legal nature of the service purchased (brokerage or rental) before concluding the contract.

Art. 2 – Role of the broker and scope of liability

2.1. In maritime brokerage activities, Ecosailing S.r.l. acts as the party that connects the User (customer) with the shipowner or charter company (the “Charter”), facilitating the conclusion of a vessel rental contract.

2.2. Ecosailing S.r.l. does not act as an agent with representation powers for the Charter, unless otherwise agreed in writing on a case-by-case basis. The Company is not responsible for: (i) the actual availability of the vessel (subject to the Charter’s confirmation); (ii) the real-time accuracy of published prices and availability, which may be updated by the Charter; (iii) the failure or partial performance of the rental contract by the Charter.

2.3. Liability for the performance of the navigation service – including the condition of the vessel, the presence of the crew and safety conditions – lies exclusively with the shipowner/Charter. In case of performance issues, the User must seek redress directly from the Charter, with the assistance, where appropriate, of Ecosailing S.r.l. as facilitator.

2.4. In direct rental activities, Ecosailing S.r.l. acts as lessor and its liability is governed by the rules of the Italian Civil Code on rental and by the legislation on recreational boating.

Art. 3 – Booking, payments and confirmation

3.1. The booking is finalised by: (i) completing the online request form; (ii) paying the deposit; (iii) written confirmation from Ecosailing S.r.l.

3.2. The payment schedule is as follows, save for specific Charter conditions indicated in the service sheet:

3.3. Failure to pay the balance by the deadline results in termination of the contract with application of the penalties under Art. 4. Payments are collected exclusively by Ecosailing S.r.l.

Art. 4 – Cancellations, penalties and refunds

4.1. In case of cancellation by the User communicated in writing, the following penalties apply:

4.2. The penalties reflect the costs incurred by the Company in its relations with the Charters and are determined according to proportionality criteria under art. 1322 of the Italian Civil Code.

4.3. We strongly recommend taking out travel cancellation insurance with a company of the User’s choice.

Art. 5 – Common provisions

5.1. Mandatory notice under art. 17 of Italian Law 38/2006. Pursuant to Law no. 38 of 6 February 2006, the Company informs customers that Italian law prohibits and criminally prosecutes child prostitution and sex tourism harming minors, even when committed abroad by Italian citizens.

5.2. Use of images and videos. During the activities, the Company or its collaborators may take photos and videos for promotional and institutional purposes. For the use of such images, please refer to the Privacy Policy. Publishing recognisable images of minors without the prior written authorisation of parents or legal guardians is strictly prohibited.

Art. 6 – Applicable law and dispute resolution

6.1. These terms are governed by Italian law. For Consumers, the mandatory protections of Italian Legislative Decree 206/2005 apply, in accordance with art. 66-ter of the Consumer Code.

6.2. For Consumers, jurisdiction lies with the court of the Consumer’s place of residence or domicile. The Consumer may use the European Commission’s ODR platform for alternative dispute resolution.
